Bitcoin does not have a CEO or leader who leads software development like Charles Hoskinson does. Bitcoin software development is not run by a corporation or foundation funded by issuing tokens to early investorsBitcoin had zero value at inception and for the first few years. Bitcoin had no presale or premine. Satoshi had to mine his own coins using real electricity and computing power, and he did not allocate an insider premine of BTC for himself.When Satoshi was mining, there is good evidence that he waited as long as possible to mine a block, in order to give other people the chance to mine the block first. Satoshi's coins have never moved or been sold.Bitcoin did not do an ICO in Tokyo in order to attempt to skirt US regulations (but Cardano did).Bitcoin fails the Howey Test (which is a good thing if you don't want to be considered an investment contract). Bitcoin is not "an investment of money in a common enterprise with a reasonable expectation of profits to be derived from the efforts of others."By contrast, Cardano had a premine/presale that has been used to enrich insiders and fund software development.Charles allegedly got a large allocation of the premine and has been allegedly profiting from it ever since.When you apply the Howey test to Cardano and Bitcoin, Bitcoin clearly emerges as a digital commodity (as recognized universally by US regulators), while Cardano clearly passes the Howey test and should thus be considered an investment contract and unregistered security.
